New: Company changes such as address, purpose, name and articles of association now fully online

Introduction
With the latest release of our app for digital company formation and mutations, we’ve reached another important milestone: from now on, changes to company address, purpose, name, and general amendments to the articles of association can be processed conveniently online via our platform.

Until now, these changes had to be handled manually by our team – a process that meant additional effort for fiduciaries and advisors. Now, these mutations can be carried out fully digitally and efficiently, saving time and significantly reducing administrative overhead.

Which changes can now be processed online?

  • Change of address (within the same municipality or to another canton)
  • Change of purpose
  • Change of company name
  • Update of articles of association (e.g. adjustments to new legal requirements)

Requirements for digital mutation
To ensure that a mutation can be processed automatically through our app, certain legal and technical criteria must be met. For this reason, users are asked to complete a brief checklist of yes/no questions at the beginning of the process.

If even one of the questions is answered with “Yes,” the mutation cannot be processed automatically, as a manual review is required in such cases.

Here’s a breakdown of the individual questions:

Does the company have contributions in kind?
Contributions in kind are non-cash contributions such as real estate, equipment, or intellectual property. These require a separate valuation and cannot be handled in an automated process.

Does the company offer special benefits?
Special benefits include shareholder obligations such as providing services, transferring know-how, or other contractually agreed contributions. These cases require individual review and cannot be standardized.

Does the company have special classes of capital (e.g. preference shares, voting shares, participation certificates, participation capital, or preferred participation certificates)?
Companies with complex capital structures need a detailed case-by-case assessment due to the intricacies of ownership and voting rights.

Has the company carried out a transfer of assets, conversion, or a conditional or approved capital increase?
If the company has recently undergone any of these significant legal events, additional checks and documentation are needed – steps that cannot be automated.

Is the company publicly listed (traded on the stock exchange)?
Public companies are subject to stricter legal requirements, especially regarding transparency and corporate governance. Their mutations require tailored support.

What happens if a question is answered with “Yes”?
In this case, the following message will automatically appear:
We’re sorry, but we cannot process this mutation automatically. Please contact us at support@hoop.ch to find a suitable alternative.
Our team will be happy to assist you in finding a solution.

Conclusion
With this app update, we now enable fiduciaries and corporate advisors to process address, purpose, name, and articles of association changes quickly and easily online – without additional queries or manual work. This saves valuable time and ensures a smooth process for the most common company mutations.
